These Terms of Service ("Terms") are an agreement between you and Hassion Studio, Inc. ("Hassion Studio", "we", "us"), a Delaware corporation, and govern your use of the Randal application, the randal.bot website, and Randal's managed subscription service (together, the "Service"). By creating an account or subscribing to a plan, you agree to these Terms.
1. What Randal is
Randal is an AI agent that runs as a desktop application on your computer. The Randal desktop application is free to download and use, including self-hosting it with your own model-provider keys — no fees are due to us for self-hosted use. We grant you a personal, non-exclusive, non-transferable license to use the application. These Terms govern the application and the managed service: accounts, paid plans, and the hosted infrastructure that routes and meters model usage on your behalf.
2. Accounts
You need an account to use a managed plan. You are responsible for keeping your credentials secure and for all activity under your account. You must be the age of majority in your jurisdiction. You agree to give us accurate account information and keep it current.
3. Plans, billing, and usage
- Subscriptions. Managed plans are billed monthly in advance through Stripe. Each plan includes a monthly usage allotment; usage beyond the allotment is billed pay-as-you-go at the rates shown in the app, up to an overage cap you control.
- Metering. Model usage on managed plans is routed through our hosted proxy and metered per request. Your live usage is always visible inside the app.
- Cancellation and refunds. You can cancel at any time from the app. On cancellation we refund the unused portion of your prepaid plan balance for the current period, less non-recoverable payment-processing fees, and your account moves to the free self-hosted tier. The app shows you the exact refund amount before you confirm.
- Price changes. We may change plan pricing with at least 30 days' notice; changes take effect at your next billing period.
- Failed payments. If a renewal payment fails, we may suspend metered usage until payment succeeds.
4. Acceptable use
Randal executes tasks on your computer at your direction. You are responsible for what you ask it to do and for the results. You agree not to use the Service to:
- break the law or infringe others' rights;
- probe, disrupt, or gain unauthorized access to systems you do not own or have permission to test;
- send spam, malware, or abusive traffic;
- resell, sublicense, or share metered usage from your plan outside your organization;
- circumvent usage metering, plan limits, or the security of the hosted service.
Your use of third-party model providers through the Service is also subject to those providers' acceptable-use policies.
5. Your content
You keep all rights to the content you provide to Randal and the output you produce with it. Work Randal performs runs locally on your machine; your project data is stored on your computer, not on our servers. When you use a managed plan, the prompts and responses needed to fulfill a request pass through our hosted proxy to the model provider — see the Privacy Policy for exactly what we store (usage metadata, never prompt content). You grant us only the limited rights needed to operate the Service: to transmit your requests to model providers and to record usage metadata for billing.
6. Third-party services
The managed service depends on third parties, including payment processing (Stripe), authentication and billing records (Supabase), hosting (Vercel), and model providers reached through our routing layer. AI model output is generated by those providers and can be wrong; you are responsible for reviewing output before relying on it.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HASSION STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.
9. Indemnification
You will indemnify and hold Hassion Studio harmless from claims arising out of your use of the Service in violation of these Terms or of applicable law.
10. Termination
You may stop using the Service and cancel your plan at any time. We may suspend or terminate your access to the managed service for material breach of these Terms, with refund of unused prepaid balance as described in Section 3 unless the breach involves fraud or abuse. The application remains free for you to self-host with your own keys regardless.
11. Changes to these Terms
We may update these Terms from time to time. For material changes we will give notice (in the app or by email) at least 14 days before they take effect. Continuing to use the managed service after that date constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Delaware.
